01Agreement

These Terms and Conditions ("Terms") are a contract between you and Santos Lab, LLC, a Florida limited liability company doing business as HomeWay ("HomeWay," "we," "us," or "our"), governing your use of the HomeWay mobile application and website at www.homewayapp.com (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you are agreeing on behalf of an organization (such as an estate or family office), you represent that you have authority to bind it.

If you do not agree, do not use the Service.

02The Service

HomeWay is a software platform for managing private residential estates, including staff hours, service requests, vendors, projects and spend, property assets, inventory, packages, calendars, documents, and reporting. Features may change over time. The Service is a tool for recording and organizing information; it does not provide legal, tax, accounting, financial, employment, or professional advice, and it does not process payroll, move money, or place orders on your behalf.

03Accounts and roles

• Estate owners and managers create an account by subscribing at app.homewayapp.com. Staff and service provider accounts are created by invitation from an estate account holder and are always free; there is no public self-signup in the mobile app.
• You must provide accurate information, keep your credentials secure, and are responsible for activity under your account.
• The account holder (owner or estate manager) controls estate settings, member access, and permissions. Different roles and access levels see and can do different things.
• You must be at least 18 years old, or the age of majority in your location, to use the Service.

04Subscriptions, billing, and cancellation

• The Service is offered on a subscription basis, currently $399 per estate per month, or $329 per estate per month billed yearly ($3,948 per year), plus applicable taxes. Each additional estate is $99 per month, or $80 per month billed yearly ($960 per year), matched to your existing billing period: adding an estate mid-cycle is charged pro rata and then renews together with your main subscription, as one combined charge on one date. Prices may change with notice.
• All payments are processed by Stripe, Inc. Subscriptions are purchased at app.homewayapp.com; your card details go directly to Stripe, and we never receive or store full card numbers. By subscribing, you authorize Stripe to charge your payment method on a recurring basis until you cancel. Saved payment methods can be updated anytime via Account & billing → Manage billing.
• The mobile app is a companion app: subscriptions are bought and managed on the web only, and the mobile app contains no purchases or in-app payments of any kind.
• Subscriptions auto-renew at the end of each period unless cancelled before the renewal date. You can cancel anytime from your account settings or by contacting us; cancellation takes effect at the end of the current billing period.
• Refunds: fees are non-refundable except where required by law.
• If a payment fails, we may suspend or limit access until it is resolved.

05Acceptable use

You agree not to: use the Service unlawfully or for any unlawful data; upload content you don't have the right to share; attempt to breach security, access other estates' data, or circumvent role/permission controls; reverse-engineer, scrape, or overload the Service; or use it to harass or harm others. We may suspend or terminate accounts that violate these Terms.

06Your content and data

• You (and the estate) own the data you enter. You grant us a limited license to host, process, and display that content solely to provide and operate the Service.
• You are responsible for the accuracy and legality of the data you enter, including any personal data about staff, household members, or others, and for having any necessary rights or consents to enter it.
• Our handling of personal data is described in the Privacy Policy.

07Intellectual property

The Service, including its software, design, and trademarks, is owned by HomeWay and its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service under these Terms. You may not copy, modify, distribute, or create derivative works except as expressly allowed.

08Third-party services

The Service relies on third parties (including Stripe, Supabase, Vercel, Expo, Apple, and Google). Your use may be subject to their terms, and we are not responsible for third-party services. Barcode product lookups and similar features may depend on third-party data that we do not guarantee.

09App stores

You obtained the mobile app from the Apple App Store or Google Play and agree to their terms. For the Apple App Store, you acknowledge: these Terms are between you and HomeWay, not Apple; Apple has no obligation to provide support or maintenance; Apple is not responsible for any product warranties or claims; and Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. Similar acknowledgments apply to Google for Google Play.

10Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that data (including reminders, alerts, and geofencing) will always be accurate or timely. You are responsible for maintaining your own records where required.

11Limitation of liability

To the maximum extent permitted by law, HomeWay and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the 12 months before the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

12Indemnification

You agree to indemnify and hold HomeWay harmless from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your content, or your violation of these Terms or applicable law.

13Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access for violation of these Terms, non-payment, or as needed to comply with law or protect the Service. On termination, your right to use the Service ends; data handling follows the Privacy Policy.

14Governing law and disputes

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Broward County, Florida, and you consent to the jurisdiction of those courts.

15Changes to these Terms

We may update these Terms. We will post the updated version with a new "Last updated" date and, for material changes, notify you. Continued use after changes means you accept them.
